The Novyx Group is a CPA-led team in Fort Worth specializing in financial, tax, operational, and transaction readiness. Let’s talk about what we offer partners and their clients.

Take a look at three core competencies that drive value for M&A partners.

The Novyx Group is a flexible, smart, and autonomous M&A firm, but the question potential partners have is, “What’s behind the talk?”

The Novyx Group is a two-time winner of Best Accounting Firm from DFW Favorites and the Fort Worth Star-Telegram.

The Novyx Group began 15 years ago as an accounting, tax, and financial leadership firm, and that's the foundation of our M&A partnership offerings.

  • Monthly account reconciliation.
  • QuickBooks setup and Desktop-to-Online migration.
  • Payroll conversion, with on-site staff training where required.
  • Financial statements reconciled with tax returns.

A proven track record of advisory for growth-stage businesses preparing to finance, acquire, or sell.

We take growth-stage businesses with a firm footing and turn them into mature, profitable, and efficient companies, from tax to operations.

Here are some characteristics of a typical client:

  • Closely-held companies with up to four owners and no board of directors.
  • Annual revenue of $1.5 million or more.
  • Founders seeking guidance on multi-entity structures, modernized software, financial decision-making, and cost-cutting opportunities.

Financial due diligence and quality-of-earnings reports keep clients transaction-ready.

Our firm’s true expertise and industry differentiator is due diligence and QoE. Work is completed on time, is compliant, and is supported by all necessary documentation.

  • Quality of earnings reports with a cash proof.
  • Business valuation support and sell-side due diligence.
  • Purchase price allocation, Form 8594, and net working capital targets.

M&A professionals need a partner that works fast, overcommunicates, and delivers results.

Business brokers, M&A intermediaries, and investment bankers.

  • Diligence-ready books on the deal's timeline: cleanup, normalized statements with documented add-backs, and seller's discretionary earnings support.
  • Statements reconcile to filed returns.
  • Sell-side due diligence runs before a buyer's team does, and business valuation support gives pricing a documented basis.

SBA 7(a) lenders.

  • A lender-engaged quality-of-earnings report and business valuation in one package ensure clients are transaction-ready, whether they plan to sell now or in the future.
  • Cash proof and the normalized earnings figure for the debt service coverage determination. Review of buyer-prepared reports.
  • A named preparer and reviewer on every report.

Commercial bankers.

  • Borrower's accounting reviewed, modernized, and kept current: a monthly close on a fixed schedule, bank reconciliation, and statements that reconcile to filed returns.
  • Interim and aging reports arrive on time for reporting covenants.
  • Fractional CFO services for borrowers without strong financial leadership.

Wealth advisors.

  • Tax structure built before terms are set: asset versus stock sale analysis, qualified small business stock planning, and installment sale structuring.
  • After-tax projections for each path.
  • Year-round tax planning in the years before a sale.

M&A and business attorneys.

  • Verified numbers to bring to the table: financial due diligence, quality-of-earnings analysis, purchase price allocation and Form 8594, and net working capital targets.
  • Due diligence responses arrive within the specific time window.

Organizational and management consultants.

  • Ledger side of the operating work: migration, payroll conversion, a monthly close that lands for your meeting cadence, and documented procedures for the internal controls.
  • Staff and workflow training where required.

The Novyx Group prepares quality of earnings reports for SBA 7(a) lenders.

Under SOP 50 10 8.1, effective Oct. 1, 2026, a 7(a) loan that finances an initial acquisition or a business expansion at a purchase price of $3 million or more requires an independent quality of earnings report. The lender orders it.

  • A lender-engaged report and business valuation, delivered as one package for the credit file.
  • A cash proof and the normalized earnings figure for the debt service coverage test.
  • Review of buyer-prepared reports on the lender's behalf.
  • A named preparer and a named reviewer on every report.
  • Engaged by the lender; we represent neither the buyer nor the seller.
  • No accounting or tax client of ours is the subject of our report.
  • A sample packet is available: sample report, sample valuation, the intake list, and engagement terms.

“Give us an objective and tell us what a win looks like. We deliver the win. It's that simple.”

Frequently Asked Questions

Do you take calls to explore a referral relationship?

Of course. Call us. New partner relationships come from all over the nation, and some begin at industry events. Contact us or schedule a call.

Will The Novyx Group compete with my services?

No. Our team provides tax planning and preparation, monthly accounting, fractional CFO services, financial due diligence and quality-of-earnings work, business valuation support, ESOP advisory, and exit and succession planning.

We do not manage investments, broker business sales, originate loans, practice law, or represent a party in negotiations, and we set the scope of work in writing at the start of every engagement.

Do you pay or accept referral fees?

No. Referrals to The Novyx Group are made on the merits of the work, and referrals from our team to other professionals are made the same way.

What does a completed engagement look like?

Here’s an example: An attorney introduced a client whose company ran everything on QuickBooks Desktop, a multimillion-dollar company, with a previous accounting firm that was not responsive.

Our team converted everything over to QuickBooks Online, converted payroll, and sent two of our people to the client's office in Houston to train the staff.

The owner is building an employee stock ownership plan and adding product lines, and the engagement continues. The attorney keeps the client relationship and the legal work.

What is the SBA quality of earnings requirement?

Under SOP 50 10 8.1, effective Oct. 1, 2026, SBA 7(a) loans for initial acquisitions and business expansions with a purchase price of $3 million or more, measured before financing and excluding owner-occupied real estate, require an independent quality of earnings report in addition to the business valuation.

The lender engages the preparer; the report must not be prepared by or for the seller; the report's earnings figure feeds the debt service coverage test; and owner buyouts, employee stock ownership plans, and cooperative conversions are exempt.

Lenders can engage The Novyx Group for these reports, or for review of a buyer-prepared report, on transactions where our team represents neither the buyer nor the seller. Owners preparing for a sale can engage us to get their books ready for the report a lender will order. We do not do both on the same transaction.

How do engagements work for lenders?

Where a lender engages The Novyx Group for a quality of earnings report, the lender is the client and the letter goes to the lender.

Your client connects with our team for the scope of work in the engagement letter, and the letter goes to the client directly. You remain the client's advisor for everything outside that scope, and the letter says so.
